These Terms of Service ("Terms") govern your use of the Firme Ops website and services (the "Services"). Firme Ops is a sole proprietorship (Jorge Saenz d/b/a Firme Ops) based in Edinburg, Texas ("Firme Ops," "we," "us"). By using the Services, you agree to these Terms. If you use the Services on behalf of a company, you agree on behalf of that company ("Customer").
1. The Services
Firme Ops provides AI automations, automatic reports, and notification tools ("bots") for trucking fleets. The Services read data from a Customer's telematics platform (for example, Samsara) and other systems the Customer connects, and send alerts, reports, and digests by WhatsApp, SMS, email, and/or PDF. Modules may include reefer temperature monitoring, trailer GPS and no-report alerts, fuel cost-per-mile reports and fuel-drop alerts, a morning fleet digest, shop/DVIR, maintenance, parts warranties, idle, and driver safety reports, custom automations and reports, and automated AI driver calls. Specific modules, scope, and fees are described in the Customer's quote or order ("Order").
2. Eligibility & accounts
The Services are for business use by persons 18 or older. You are responsible for the accuracy of the information you give us, for keeping your recipient lists up to date, and for activity under your account.
3. Telematics access
Customer authorizes Firme Ops to access its telematics account through API credentials or integrations the Customer provides, only as needed to provide the Services. Customer represents that it has the right to grant this access and to share the data involved, including data about its drivers and employees. If Customer enables AI driver calls, the calls are made on Customer's behalf and Customer is responsible for informing its drivers and obtaining any consent required by law, including for automated calls and call recording. Customer may revoke access at any time, which may stop the Services from working. We are not responsible for the availability, accuracy, or completeness of data provided by telematics platforms or devices.
4. SMS & WhatsApp messaging terms
Program. Firme Ops Fleet Alerts: operational alerts, reports, fleet digests, and service notifications sent by SMS and/or WhatsApp to recipients who have opted in.
Opt-in. Recipients must opt in before receiving messages. A Customer that adds its employees or contractors as recipients represents that each has agreed to receive messages, and each recipient will be asked to confirm opt-in. Consent to receive messages is not a condition of purchasing any goods or services.
Message frequency varies based on the alerts enabled (for example, one morning digest per day plus alerts when configured conditions occur).
Message and data rates may apply.
Opt-out. Reply STOP to any message to stop receiving messages. You will receive one confirmation message and no further messages unless you opt in again. Help: reply HELP or contact contact@firmeops.com or +1 (956) 450-0017.
Carriers are not liable for delayed or undelivered messages. Message delivery depends on mobile carriers, WhatsApp, and our messaging providers and is not guaranteed.
Privacy. We do not share mobile numbers or messaging opt-in data with third parties for marketing purposes. See our Privacy Policy.
WhatsApp messages are also subject to WhatsApp's terms and policies.
5. Alerts are informational — keep your own procedures
The Services are a tool to help your team notice issues. Alerts, reports, and AI-generated summaries may contain errors and should be reviewed before you act on them. They do not replace your drivers, dispatchers, reefer unit controls, or your own monitoring, safety, and cargo-protection procedures. Alerts depend on data from third-party devices, networks, and platforms and may be delayed, incomplete, inaccurate, or not delivered. Do not rely on the Services as the sole means of protecting cargo, equipment, or people, or for emergency response. You remain responsible for compliance with laws and regulations that apply to your operation (including FMCSA, food safety, and cross-border requirements).
6. Acceptable use
You agree not to: use the Services for unlawful purposes; send messages to people who have not opted in; use the Services to send marketing messages; interfere with or attempt to gain unauthorized access to the Services; or resell the Services without our written permission.
7. Fees
Fees, billing terms, and any trial or pilot terms are stated in the Order. Unless the Order says otherwise, fees are due as invoiced and are exclusive of taxes. Telematics subscriptions and mobile carrier charges are the Customer's responsibility.
8. Third-party services
The Services rely on third-party platforms such as telematics providers, messaging providers, and WhatsApp. Your use of those platforms is governed by their own terms. Firme Ops is not affiliated with or endorsed by those providers, and we are not responsible for their services.
9. Data & privacy
Customer owns its telematics data. Customer grants Firme Ops a limited right to use that data to provide, support, and improve the Services. Our Privacy Policy describes how we handle personal information.
10. Intellectual property
Firme Ops owns the Services, software, website, and related materials. We grant Customer a limited, non-exclusive, non-transferable right to use the Services during the term of the Order. Feedback you give us may be used without obligation to you.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, FIRME OPS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES OR ALERTS WILL BE UNINTERRUPTED, TIMELY, ACCURATE, OR ERROR-FREE.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, FIRME OPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, SPOILED OR DAMAGED CARGO, CARGO CLAIMS, OR EQUIPMENT LOSS, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. FIRME OPS'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO FIRME OPS FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
Customer will defend and indemnify Firme Ops against third-party claims arising from Customer's data, Customer's violation of these Terms or applicable law, or messages sent to recipients Customer added without their consent.
14. Term & termination
These Terms apply while you use the Services. Either party may end the Services as provided in the Order, or on written notice if the other party materially breaches these Terms and does not fix the breach within a reasonable time. We may suspend the Services to prevent misuse or comply with law or provider requirements. On termination, access ends and we will delete or return Customer data on request, subject to legal retention requirements.
15. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Hidalgo County, Texas, and the parties consent to that jurisdiction.
16. Changes
We may update these Terms from time to time. We will post the updated Terms on this page with a new "Last updated" date and notify Customers of material changes by email or other reasonable means. Continued use after changes take effect means you accept the updated Terms.

Estos Términos de Servicio ("Términos") rigen el uso del sitio web y los servicios de Firme Ops (los "Servicios"). Firme Ops es un negocio de propietario único (Jorge Saenz d/b/a Firme Ops) con sede en Edinburg, Texas ("Firme Ops", "nosotros"). Al usar los Servicios, aceptas estos Términos. Si usas los Servicios en nombre de una empresa, los aceptas en nombre de esa empresa ("Cliente").
1. Los Servicios
Firme Ops ofrece automatizaciones con IA, reportes automáticos y herramientas de notificación ("bots") para flotillas de transporte. Los Servicios leen datos de la plataforma de telemática del Cliente (por ejemplo, Samsara) y de otros sistemas que el Cliente conecte, y envían alertas, reportes y resúmenes por WhatsApp, SMS, correo y/o PDF. Los módulos pueden incluir monitoreo de temperatura de refrigerados, alertas de GPS y sin reporte de cajas, reportes de costo de combustible por milla y alertas de bajadas de combustible, resumen matutino de la flotilla, reportes de taller/DVIR, mantenimiento, garantías de piezas, ralentí y seguridad de choferes, automatizaciones y reportes a la medida, y llamadas automáticas a choferes con IA. Los módulos, el alcance y las tarifas se describen en la cotización u orden del Cliente ("Orden").
2. Requisitos y cuentas
Los Servicios son para uso empresarial por personas de 18 años o más. Eres responsable de la exactitud de la información que nos das, de mantener actualizadas tus listas de destinatarios y de la actividad en tu cuenta.
3. Acceso a la telemática
El Cliente autoriza a Firme Ops a acceder a su cuenta de telemática mediante las credenciales de API o integraciones que el Cliente proporcione, solo en la medida necesaria para prestar los Servicios. El Cliente declara que tiene derecho a otorgar este acceso y a compartir los datos correspondientes, incluidos los datos de sus operadores y empleados. Si el Cliente activa las llamadas a choferes con IA, las llamadas se hacen a nombre del Cliente y el Cliente es responsable de informar a sus choferes y de obtener el consentimiento que exija la ley, incluido para llamadas automáticas y grabación de llamadas. El Cliente puede revocar el acceso en cualquier momento, lo que puede hacer que los Servicios dejen de funcionar. No somos responsables de la disponibilidad, exactitud o integridad de los datos de las plataformas o dispositivos de telemática.
4. Términos de mensajes por SMS y WhatsApp
Programa. Firme Ops Fleet Alerts: alertas operativas, reportes, resúmenes de flotilla y avisos del servicio enviados por SMS y/o WhatsApp a destinatarios que dieron su consentimiento.
Consentimiento. Los destinatarios deben dar su consentimiento antes de recibir mensajes. El Cliente que agregue a sus empleados o contratistas como destinatarios declara que cada uno aceptó recibir mensajes, y a cada destinatario se le pedirá confirmar su consentimiento. El consentimiento para recibir mensajes no es condición para comprar ningún bien o servicio.
La frecuencia de mensajes varía según las alertas activadas (por ejemplo, un resumen matutino al día más alertas cuando ocurren las condiciones configuradas).
Pueden aplicar tarifas de mensajes y datos.
Baja. Responde STOP a cualquier mensaje para dejar de recibir mensajes. Recibirás un mensaje de confirmación y ningún mensaje más a menos que vuelvas a dar tu consentimiento. Ayuda: responde HELP o contáctanos en contact@firmeops.com o +1 (956) 450-0017.
Las compañías celulares no son responsables por mensajes retrasados o no entregados. La entrega depende de las compañías celulares, WhatsApp y nuestros proveedores de mensajería, y no está garantizada.
Privacidad. No compartimos números móviles ni datos de consentimiento de mensajería con terceros para fines de marketing. Consulta nuestro Aviso de Privacidad.
Los mensajes de WhatsApp también están sujetos a los términos y políticas de WhatsApp.
5. Las alertas son informativas — mantén tus propios procedimientos
Los Servicios son una herramienta para ayudar a tu equipo a detectar problemas. Las alertas, reportes y resúmenes generados con IA pueden tener errores y deben revisarse antes de actuar. No sustituyen a tus operadores, despachadores, los controles del thermo ni tus propios procedimientos de monitoreo, seguridad y protección de la carga. Las alertas dependen de datos de dispositivos, redes y plataformas de terceros y pueden llegar tarde, estar incompletas, ser inexactas o no entregarse. No dependas de los Servicios como único medio para proteger carga, equipo o personas, ni para responder a emergencias. Sigues siendo responsable de cumplir las leyes y normas que apliquen a tu operación (incluidas FMCSA, inocuidad alimentaria y requisitos de cruce fronterizo).
6. Uso aceptable
Te comprometes a no: usar los Servicios con fines ilegales; enviar mensajes a personas que no dieron su consentimiento; usar los Servicios para enviar mensajes de marketing; interferir con los Servicios o intentar acceder a ellos sin autorización; ni revender los Servicios sin nuestro permiso por escrito.
7. Tarifas
Las tarifas, condiciones de facturación y cualquier término de prueba o piloto se indican en la Orden. Salvo que la Orden diga otra cosa, las tarifas se pagan según se facturen y no incluyen impuestos. Las suscripciones de telemática y los cargos de la compañía celular son responsabilidad del Cliente.
8. Servicios de terceros
Los Servicios dependen de plataformas de terceros como proveedores de telemática, proveedores de mensajería y WhatsApp. El uso de esas plataformas se rige por sus propios términos. Firme Ops no está afiliado ni respaldado por esos proveedores y no es responsable de sus servicios.
9. Datos y privacidad
El Cliente es dueño de sus datos de telemática. El Cliente otorga a Firme Ops un derecho limitado para usar esos datos para prestar, dar soporte y mejorar los Servicios. Nuestro Aviso de Privacidad describe cómo manejamos la información personal.
10. Propiedad intelectual
Firme Ops es dueño de los Servicios, el software, el sitio web y los materiales relacionados. Otorgamos al Cliente un derecho limitado, no exclusivo e intransferible para usar los Servicios durante la vigencia de la Orden. Podemos usar los comentarios que nos des sin obligación hacia ti.
11. Exclusión de garantías
LOS SERVICIOS SE PROPORCIONAN "TAL CUAL" Y "SEGÚN DISPONIBILIDAD". EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY, FIRME OPS RENUNCIA A TODA GARANTÍA, EXPRESA O IMPLÍCITA, INCLUIDAS LAS DE COMERCIABILIDAD, IDONEIDAD PARA UN FIN PARTICULAR Y NO INFRACCIÓN, Y NO GARANTIZA QUE LOS SERVICIOS O ALERTAS SEAN ININTERRUMPIDOS, OPORTUNOS, EXACTOS O LIBRES DE ERRORES.
12. Limitación de responsabilidad
EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY, FIRME OPS NO SERÁ RESPONSABLE POR DAÑOS INDIRECTOS, INCIDENTALES, ESPECIALES, CONSECUENTES O PUNITIVOS, NI POR PÉRDIDA DE GANANCIAS, PÉRDIDA DE INGRESOS, CARGA DAÑADA O ECHADA A PERDER, RECLAMOS DE CARGA O PÉRDIDA DE EQUIPO, QUE SURJAN DE LOS SERVICIOS O SE RELACIONEN CON ELLOS, AUN SI SE ADVIRTIÓ DE ESA POSIBILIDAD. LA RESPONSABILIDAD TOTAL DE FIRME OPS POR CUALQUIER RECLAMO NO EXCEDERÁ LAS TARIFAS PAGADAS POR EL CLIENTE A FIRME OPS POR LOS SERVICIOS EN LOS TRES (3) MESES ANTERIORES AL HECHO QUE ORIGINÓ EL RECLAMO.
13. Indemnización
El Cliente defenderá e indemnizará a Firme Ops frente a reclamos de terceros derivados de los datos del Cliente, del incumplimiento de estos Términos o de la ley aplicable por parte del Cliente, o de mensajes enviados a destinatarios que el Cliente agregó sin su consentimiento.
14. Vigencia y terminación
Estos Términos aplican mientras uses los Servicios. Cualquiera de las partes puede terminar los Servicios según lo previsto en la Orden, o mediante aviso por escrito si la otra parte incumple de forma importante estos Términos y no corrige el incumplimiento en un plazo razonable. Podemos suspender los Servicios para evitar un mal uso o cumplir con la ley o con requisitos de los proveedores. Al terminar, el acceso finaliza y eliminaremos o devolveremos los datos del Cliente si lo solicita, sujeto a requisitos legales de conservación.
15. Ley aplicable
Estos Términos se rigen por las leyes del Estado de Texas, sin considerar sus normas de conflicto de leyes. Cualquier controversia se presentará ante los tribunales estatales o federales ubicados en el Condado de Hidalgo, Texas, y las partes aceptan esa jurisdicción.
16. Cambios
Podemos actualizar estos Términos de vez en cuando. Publicaremos los Términos actualizados en esta página con una nueva fecha de "Última actualización" y avisaremos a los Clientes de cambios importantes por correo u otro medio razonable. El uso continuo después de que los cambios entren en vigor significa que aceptas los Términos actualizados.
